General terms and conditions
Scope
These General Terms and Conditions (GTC) govern all contracts between Ask Harriet (hereinafter referred to as the “Provider”) and its customers (B2C/private customers/natural persons and B2B/corporate customers/legal entities).
They apply to all services provided by the Provider, in particular:

AI workshops and AI courses (online and on-site)

AI consulting and strategic support
-
Creation of AI-based content (texts, images, videos)
-
Other digital products
Deviating terms and conditions of the customer are excluded.
Conclusion of contract
A contract is concluded by written confirmation (email is sufficient). By confirming the order, the customer accepts these GTC.
Services provided
The specific scope of services is set out in the individual offer or order confirmation.
The provider may provide services personally or through suitable partners.
Prices and terms of payment
The prices stated in the offer apply.
Unless otherwise agreed:

Payment term: 30 days from the invoice date.

Prices are exclusive of VAT (if applicable).
In the event of late payment, the provider is entitled to charge reminder fees and interest.
Conditions of participation for workshops and courses
Minimum number of participants
The minimum number of participants is specified for each order.
As a rule, this is 10 participants; for smaller formats, a minimum of 5 participants may apply.
Implementation
If the agreed minimum number of participants is not reached, the workshop may be:

postponed,
-
held in an adapted form,
-
or, in exceptional cases, canceled.
The provider will endeavor to find an appropriate solution together with the customer.
Organisational changes (agenda, lecturers, schedule) are reserved, provided they are reasonable.
Cancellation and postponement by the customer
The following deadlines apply to workshops, courses, and consulting services:
Cancellation

Up to 30 days before the date: free cancellation

29 to 14 days before the date: 50% of the agreed fee

Less than 14 days before the date: 100% of the agreed fee
There is no right of return for digital products (download/one-time access).
Postponement
-
A one-time postponement is possible free of charge up to 14 days before the date.

Postponements less than 14 days before the appointment are considered cancellations, unless otherwise agreed.

Further postponements will be agreed separately and may be subject to a fee.
No-shows
Non-attendance or late arrival does not entitle the customer to a refund or replacement appointment.
Cancellation and postponement by the customer
The following deadlines apply to workshops, courses, and consulting services:
Postponement or cancellation by the provider
In the event of illness, force majeure, or other unforeseeable events, the provider may postpone or cancel the appointment.
In the event of complete cancellation, any payments already made will be refunded. Further claims are excluded.
Customer's obligation to cooperate
The customer shall provide all necessary information, materials, and access in a timely manner.
Delayed cooperation may postpone the provision of services or incur additional costs.
AI-based content: Copyright, rights of use, and liability
Copyright
The provider remains the copyright holder of the content it creates, insofar as this content is protectable.
Some AI-generated content may not be protectable by copyright.
Rights of use
Upon full payment, the customer receives the rights of use specified in the offer:

usually non-exclusive
-
limited to the agreed purpose
Any further use requires a written agreement.
Transparency in AI
Upon request, the provider will inform the customer about the AI models used and their role in the project.
Liability for AI content
The provider is liable for intentional and grossly negligent breaches of duty.
It is not liable for:

lack of protectability of AI content
-
possible third-party rights arising from training data
-
the specific use of the delivered content by the customer
The provider's liability for AI-related legal violations is limited to a maximum of the amount of the fee.
General liability
The provider's liability is limited to intent and gross negligence.
No liability is accepted for indirect damage, consequential damage, or loss of profit.
Total liability is limited to the order value.
Ask Harriet uses hyperlinks solely to simplify customer access to other websites. Ask Harriet cannot know the content of these websites in detail, nor can it accept liability or other responsibility for the content of these websites.
Ask Harriet is unable to make any representations or guarantees regarding the timeliness, completeness, and accuracy of the data, or the constant or uninterrupted availability of the website, its functionalities, integrated hyperlinks, and other content. In particular, no representation or guarantee is made that the use of the website will not infringe the rights of third parties not owned by Ask Harriet.
Amendment of the GTC
The Provider may amend these GTC at any time.
The version published on the website shall be authoritative.
Place of jurisdiction and applicable law
Swiss law shall apply.
The place of jurisdiction shall be the registered office of the Provider.
Partial invalidity
Should individual provisions of these Terms and Conditions prove to be invalid or unenforceable or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.
Further provisions
Ask Harriet expressly reserves the right to amend these Terms and Conditions at any time and to bring them into force without notice. In the event of disputes, Swiss substantive law shall apply exclusively, excluding conflict of law rules. The UN Convention on Contracts for the International Sale of Goods (CISG, Vienna Sales Convention) is explicitly excluded.
Data protection
Personal data will be treated confidentially and used only for the purpose of fulfilling the contract.
Data will only be passed on with consent or if required by law.
Ask Harriet may process and use the data collected in the context of the conclusion of the contract to fulfill the obligations arising from the purchase contract and for marketing purposes. The data necessary for the performance of services may also be passed on to commissioned service partners (logistics partners) or other third parties.
